Settlement of In re Alphabet, Inc. Securities Litigation

After over five years of hard-fought litigation that included a unanimous win in the Ninth Circuit Court of Appeals, Lead Plaintiff State of Rhode Island, Office of the Rhode Island Treasurer on behalf of the Employees’ Retirement System of Rhode Island recovered $350 million for investors. The Honorable Trina L. Thompson, United States District Judge for the Northern District of California, approved the settlement, which is a record-setting securities recovery in the Ninth Circuit for a previously dismissed case and nationally for a case based on underlying data-privacy issues. A consumer class action related to the same core facts recovered $7.5 million.
The Class consists of all Persons that purchased or otherwise acquired Alphabet Class A and/or Class C stock during the period from April 23, 2018, through April 30, 2019, inclusive. Excluded from the Settlement Class are Defendants and their families, the officers, directors, and affiliates of Defendants, at all relevant times, members of their immediate families and their legal representatives, heirs, successors or assigns, and any entity in which Defendants have or had a controlling interest. Also excluded from the Settlement Class is any Person who timely and validly sought exclusion from the Settlement Class.
The settlement was approved by the Court on September 30, 2024.
